Terms of Service

These Terms govern your access to and use of ReplyMate ("the Service"). By creating an account or accessing the Service, you agree to be bound by them. If you do not agree, do not use the Service.
1. The Service
ReplyMate is a WhatsApp-only AI helpdesk that helps service-based businesses automate customer replies, capture leads, manage bookings, and monitor reviews. We provide the platform; you control the persona, FAQs, and connected channels.
2. Eligibility & account
- You must be at least 18 and authorised to bind the business you are signing up for.
- Provide accurate information and keep your login credentials secure.
- One free starter account per IP address per 24 hours, enforced by anti-abuse rules.
3. Acceptable use
You will not, and will not permit your users to:
- Send spam, unsolicited bulk messages, or any content that violates WhatsApp's Business Policy or Commerce Policy
- Impersonate another person or business, or misrepresent the AI as a human
- Process special-category data (health, race, sexual orientation, government IDs, financial account numbers) through the AI without separate written agreement
- Reverse-engineer, scrape, or attempt to extract our prompts or model weights
- Use the Service for activities that are illegal in Malaysia or your jurisdiction
We may suspend or terminate accounts that violate these rules without prior notice.
4. Plans & billing
ReplyMate is currently in closed beta. Beta access is free of charge. When paid plans launch, the active plan, monthly limits, and billing terms shown on your plan page at the time of purchase apply. Beta users will receive at least 30 days' notice before their account is required to upgrade or downgrade.
5. Your content
You retain ownership of all data you put into the Service — your persona, FAQs, customer conversations, branding. You grant us a limited, non-exclusive licence to process that data solely to provide and improve the Service for you. We do not use your content to train AI models.
6. AI output
AI-generated replies are produced by third-party large language models. Output may occasionally be inaccurate, incomplete, or unsuitable for your context. You are responsible for reviewing AI output before it is sent to customers in any high-stakes context (medical, legal, financial). The "Approve before send" mode is recommended for the first 30 days.
7. Service availability
We target 99.9% monthly uptime but make no warranty during beta. Scheduled maintenance will be announced in advance where possible. We are not liable for downtime caused by upstream providers (Supabase, Render, MiniMax, WhatsApp).
8. Intellectual property
The Service, our branding, design system, and software are owned by us. You may not copy, modify, or create derivative works of the Service without our written permission. Open-source components are governed by their respective licences.
9. Termination
- You can delete your account at any time from Settings → Account.
- We may terminate accounts for violation of these Terms, fraud, abuse, or non-payment after paid plans launch.
- Upon termination, your data is retained for 30 days then permanently deleted, except where a longer retention period is required by law.
10. Limitation of liability
To the maximum extent permitted by Malaysian law, our aggregate liability for any claim arising out of the Service is limited to the greater of (a) the fees you paid us in the twelve months before the claim arose, or (b) MYR 500. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost customers.
11. Indemnity
You agree to indemnify us against claims arising from your misuse of the Service, your violation of these Terms, or your violation of any third party's rights (including WhatsApp's policies).
12. Governing law
These Terms are governed by the laws of Malaysia. Disputes will be resolved in the courts of Kuala Lumpur, except where mandatory consumer-protection law in your jurisdiction applies.
13. Changes
We may update these Terms; we will email account holders if changes are material. Continued use after the effective date constitutes acceptance.
